The dividend that is paid to the foreign citizen shareholder is free of dividend tax from the 1st January, 2006 in Hungary.
The companies can save significant amount of tax, if they involve a company that was founded in Cyprus, in their transactions. In Europe the least economic tax rate (10 %) is in effect, however no taxes should be paid from the dividend or capital gains. One of the tax-optimizer opportunities is adequate for the small and medium sized companies.
If the shareholder of a Hungarian company wants to sell the business share in Hungary, then he has to pay 25% capital gain tax. According to an EU directive share-exchange between companies founded in the European Union cannot be taxed if the proprietor is the same person(s). So for this reason it's worth founding a project-company in Cyprus. The Cypriot company acquires shares in the Hungarian company by issuing securities embodying its own subscribed capital for the shares or stakes (quotas) of the Hungarian company. Actually the business shares are exchanged in the transaction. Afterwards the Cypriot company sells the Hungarian company, but the profit realization according to the Cypriot rules is free of tax.
Sham employment contracts (still)
1. According to the laws, the Labor Authority or the court (if there is a lawsuit) has the right to qualify the contract not according to its title, but according to its content, so they can state that there is an existing employment relation (re-qualification). During the qualification they examine the following:

2. The competent tax authority does not re-qualify the contract, but can apply the sanctions of surtax on overdue payments, penalty for default, etc. like in case of employment contracts. These can be used even in connection with a void contract, if there is an economically demonstrable result.
3. The significant criteria of labor relation:
- hierarchical subservience;
- the regularity and persistent nature of the work;
- the place, period of the work and the job?s description;
- the availability of the employee;
- the employer?s right to instruct, right to control;
- doing work personally;
- regular wage;
- usage of the employer?s tools, sources and raw material;
- ensuring the safe and harmless circumstances of work.
According to the juridical practice the lack of the written employment contract does not mean that there is no employment relation. We are at your service in labor law advising.
Energy projects, legal, economical and financial consultancy in connection with energy
At the moment in our scope there are three energetic projects:
- A hydroelectric power station that produces energy since the end of 2007. Its output is 9 MW. 76 % of it is to be sold. Two other bigger hydroelectric stations (built by 2008 and 2009) are also to be acquired. These three hydroelectric stations can also be put into one project. Our constant team works in the representation of energy law and in the related technological and financial advising.
- There is a wind mill park-project with 13-25 towers near Győr to be sold or looking for investor.
- A subsidiary company of a larger group that operates gas-engine turbines. It's 64 % is to be sold. It produces heat and electricity for 2 big pharmaceutical factories with a long-term contract for a favorable price than other suppliers.

Liquidation procedure got easy...
The rules of starting a liquidation process has been eased. After passing the due date of the invoice without payment or debate and another 15 days with the same conditions it is now possible to start the liquidation procedure, a successful debt collection tool.
It is still a must to send a reminder (in a registered letter or some other form of proven track) to the debtor with certain content included, but it is possible to send the reminder after the 15 days has passed and than the debtor cannot contest the liquidation request!
Contesting any invoice is possible only within the 15 days or prior the receipt of the reminder.
